1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Hormuz, including all features, tools, and services provided through our business management platform. By creating an account or using Hormuz, you agree to be bound by these Terms.

If you are using Hormuz on behalf of an organization or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Account Registration

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately of any unauthorized use of your account.
• You must be at least 18 years old to create an account.
• One person or entity may not maintain multiple accounts without prior written consent.

3. Permitted Use

Hormuz is licensed, not sold, to you for lawful business use in business operations. You may:

• Use the platform to manage operations including sales, inventory, and customer relationships
• Access your account from authorized devices in accordance with your subscription plan
• Use data export features to retrieve your own business data

4. Prohibited Activities

You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to extract the source code of Hormuz
• Use the platform for any unlawful purpose or in violation of applicable regulations
• Share your account credentials with unauthorized individuals
• Interfere with or disrupt the platform's infrastructure or other users' access
• Upload malicious code, viruses, or any harmful content
• Use automated systems (bots, scrapers) to access the platform without authorization
• Attempt to gain unauthorized access to other users' accounts or data

5. Subscription & Payments

• Hormuz operates on a subscription basis. By selecting a plan, you agree to pay the applicable fees.
• Fees are billed in advance on a monthly or annual basis, depending on your selected plan.
• All payments are non-refundable except as expressly stated in our refund policy or required by applicable law.
• We reserve the right to adjust pricing with 30 days' advance notice. Continued use after a price change constitutes acceptance.
• Failure to pay may result in suspension or termination of your account.

6. Intellectual Property

All content, features, and functionality of Hormuz — including but not limited to software, text, graphics, logos, icons, images, and their compilation — are the exclusive property of Hormuz and are protected by international copyright, trademark, and other intellectual property laws.

Your business data (inventory, sales records, customer data) remains your property. We do not claim ownership of data you input into the platform.

7. Data & Confidentiality

• We treat all data entered into Hormuz as confidential.
• We will not access, sell, or share your business data without consent, except as outlined in our Privacy Policy.
• You are responsible for ensuring that any patient or customer data entered complies with applicable health data protection laws.
• We maintain audit logs of data access for security and compliance purposes.

8. Service Availability

We strive to maintain 99.9% uptime for Hormuz. However, we do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. We are not liable for temporary disruptions caused by:

• Scheduled maintenance or system upgrades
• Force majeure events (natural disasters, strikes, etc.)
• Issues with third-party services (internet providers, hosting providers)
• Circumstances beyond our reasonable control

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Hormuz is provided "as is" and "as available" without warranties of any kind.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.
• Our total liability shall not exceed the amount you paid for Hormuz in the 12 months preceding the claim.
• We are not responsible for any loss of data resulting from your failure to maintain adequate backups.

10. Termination

Either party may terminate this agreement:

• By you: You may cancel your subscription at any time through account settings. Service will continue until the end of the current billing period.
• By us: We may suspend or terminate your account for violation of these Terms, with notice and an opportunity to cure where applicable.

Upon termination, you may export your data within 30 days. After this period, we reserve the right to delete your account data.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Bangladesh. Any disputes arising under these Terms shall be resolved through binding arbitration in Dhaka, Bangladesh, or in the courts of Dhaka, at our discretion.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Your continued use of Hormuz after changes become effective constitutes acceptance of the revised Terms.
